HelenAI Terms of Service

These Terms of Service ("Terms") govern your access to and use of the HelenAI ChatGPT app and related remote MCP services (the "Service") provided by HelenNow LLC ("HelenAI," "we," "us," or "our"). By connecting to or using the Service, you agree to these Terms.

1. Eligibility and authorization

To use the Service, you must sign in with your Microsoft Entra account. Access is evaluated using the tenant and group permissions associated with your account. You must use the Service only for authorized business purposes and must not bypass its authentication, authorization, or tenant access controls.

2. The Service

HelenAI provides authenticated, permission-controlled access to operational information in connected private workspaces. The Service returns information based on your request and the data available to your account.

3. Prohibited information and use

Do not submit payment-card data, protected health information, government identification numbers, passwords, API keys, MFA or one-time codes, or other authentication secrets. Do not use the Service to:

• Access, disclose, or use information without authorization.
• Violate law, regulation, a third party’s rights, or your organization’s policies.
• Attempt to bypass authentication, tenant boundaries, rate limits, or security controls.
• Probe, scan, disrupt, reverse engineer, or introduce malicious code into the Service.
• Use outputs to make solely automated decisions where prohibited by law or without required human review.
• Use the Service to track or profile individuals outside your organization’s authorized operational purposes, or for any prohibited or harmful activity.

4. Your responsibilities

You are responsible for using your own account, not sharing your sign-in details, asking clear and specific questions, and providing accurate filters or details when requested. Clear questions and accurate details help the Service return more relevant results. Report suspected unauthorized access or misuse to mbdeir@helennow.com.

5. Privacy

Our Privacy Policy explains what information the Service collects, how it is used and shared, how long it is retained, and the controls available to users. By using the Service, you acknowledge that you have reviewed the Privacy Policy.

6. Ownership and feedback

As between you and HelenNow LLC, HelenNow LLC and its licensors retain all rights in the Service, software, documentation, and branding. You retain rights in information you provide or access through your organization, subject to the rights of the organization and other owners. You grant HelenNow LLC only the limited permissions needed to operate the Service as described in these Terms and the Privacy Policy.

If you provide suggestions or feedback, you grant us permission to use it to improve the Service without compensation or attribution, provided we do not identify you or disclose confidential information in doing so.

7. Third-party services

The Service may depend on ChatGPT, identity providers, cloud hosting, connected services, and other services controlled by third parties. Those services may have separate terms and privacy policies. We are not responsible for third-party services or content outside our reasonable control.

8. Availability and changes

We may modify, suspend, or discontinue all or part of the Service, including to address security, legal, or operational requirements. We do not guarantee uninterrupted or error-free availability. We may update these Terms by posting a revised version at this URL and changing the effective date. Continued use after the effective date of revised Terms constitutes acceptance where permitted by law.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” HELENNOW LLC DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL, LEGAL, MEDICAL, FINANCIAL, OR OTHER EXPERT ADVICE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELENNOW LLC AND ITS LICENSORS, SERVICE PROVIDERS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited. Some jurisdictions do not allow certain limitations, so some of this section may not apply to you.

11. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless HelenNow LLC and its affiliates, officers, employees, and service providers from claims, damages, liabilities, costs, and expenses arising from your unauthorized use of the Service, violation of these Terms, violation of law or third-party rights, or information you submit without authorization.

12. Suspension and termination

We or your organization may suspend or terminate access if reasonably necessary to protect the Service, comply with law, address misuse or security risk, or enforce these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination—including ownership, disclaimers, limitations of liability, indemnity, dispute terms, and privacy obligations—will survive.

13. Governing law and disputes

These Terms are governed by applicable law. Before filing a formal claim, the parties will try in good faith to resolve the dispute by contacting mbdeir@helennow.com. Nothing in these Terms limits rights or remedies that cannot legally be waived or limited.

14. General terms

These Terms, together with the Privacy Policy and any written agreement governing your organization’s use of the Service, are the entire agreement about the Service. If a provision is unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent, except as part of a permitted corporate reorganization or transfer. Our failure to enforce a provision is not a waiver.
